Ownership & Organizational Disclosure
GovBuyX is a subsidiary company of Wakaga Economic Development Group. This disclosure explains GovBuyX’s organizational relationship, the distinction between its operating business and the rights in its technology, and the sovereign protections reserved by the relevant entities.
Company and governmental relationship
GovBuyX maintains its own company identity and customer-facing software identity. Wakaga Economic Development Group (Wakaga or WEDG) is its parent organization.
Wakaga is the wholly owned Indian Economic Enterprise and economic development organization of the Wakpamni Lake Community (WLC). The Wakpamni Lake Community government is a local subsidiary municipal tribal government of the Oglala Sioux Tribe (OST), a federally recognized tribal government.
The organizational relationship is:
- Oglala Sioux Tribe — federally recognized tribal government.
- Wakpamni Lake Community — local subsidiary municipal tribal government of the Oglala Sioux Tribe.
- Wakaga Economic Development Group — wholly owned Indian Economic Enterprise and economic development organization of the Wakpamni Lake Community.
- GovBuyX — subsidiary company of Wakaga Economic Development Group and operator of the GovBuyX service.
GovBuyX operating company: [insert full registered legal name, entity type, and formation jurisdiction]. In GovBuyX’s legal pages, “GovBuyX,” “we,” “us,” and “our” refer to this operating company unless the context expressly identifies another entity.
Platform and activities
GovBuyX provides business software for researching government opportunities, organizing company information, preparing and reviewing work, and managing contracting, grant, and procurement workflows. The service includes FedBidX and other GovBuyX modules made available to an authorized account. Features and access may vary by account and service arrangement.
GovBuyX is not SAM.gov, Grants.gov, or a United States government agency. Its use of public government information does not imply federal endorsement, sponsorship, certification, or approval. Access to GovBuyX does not itself make a user a tribal enterprise, government representative, authorized Wakaga partner, or eligible participant in a procurement preference or certification program.
Operating responsibility and separate entities
The GovBuyX operating company identified above is responsible for the service it provides, subject to its customer agreements. A separate transaction may identify another contracting entity; that identity must be stated in the applicable agreement.
Ownership or affiliation alone does not make Wakaga, WLC, OST, a software licensor, or another affiliate a party to a customer agreement, guarantor of an obligation, or authorized representative of another entity. GovBuyX does not represent that it may bind the Oglala Sioux Tribe as a whole. Authority to act for another entity must arise from a valid authorization or agreement.
Wakaga’s registrations, certifications, identifying numbers, and governmental qualifications belong to the entity to which they were issued. They are not automatically GovBuyX’s credentials or available for a customer’s use. Requests for formal verification should identify the specific entity and credential concerned.
Software, branding, and customer information
Ownership of the GovBuyX operating company is distinct from ownership of software, source code, domains, trademarks, and other intellectual property used to deliver its services. These assets may be owned by GovBuyX, licensed to it, or lawfully used under arrangements with their respective rights holders. This disclosure does not assign, transfer, or enlarge any intellectual-property rights.
Customers retain their rights in company information, uploaded documents, and other customer content, subject to the rights of third parties. Providing content to the service does not transfer its ownership to Wakaga, a software developer, or a technology licensor. Permitted processing and use are described in the Terms of Service and Privacy Policy.
GovBuyX, Wakaga, WLC, and OST names, logos, and other protected identifiers may not be used to suggest an affiliation, endorsement, agency relationship, or authority that has not been granted.
Sovereign disclosure and reservation of rights
Wakaga’s governmental relationship derives through the Wakpamni Lake Community and the federally recognized Oglala Sioux Tribe. GovBuyX’s relationship to that structure is through Wakaga. The relevant entities reserve all sovereign rights, privileges, immunities, jurisdictional protections, and defenses applicable to them under governing tribal and federal law.
Nothing in this disclosure, the GovBuyX service, customer communications, commercial activity, payment processing, or a related interaction constitutes an express or implied waiver of any sovereign immunity that applies to GovBuyX, Wakaga, WLC, or OST, or consent to a forum where consent is otherwise required.
Any waiver must be express, unequivocal, written, and duly authorized through the applicable tribal governmental process and the affected entity’s governing requirements. No employee, officer, contractor, developer, customer, or other representative may independently grant a waiver without that authority. A validly authorized, limited waiver applies only within its stated scope.
This reservation does not create immunity for an entity that is not entitled to it, extend tribal status to a user or technology provider, or displace a law or jurisdiction that validly applies without consent. The Terms of Service and Privacy Policy contain additional provisions addressing these matters.
